TERMS AND CONDITIONS OF SALE

Article 1 - Definitions

CORPO TRAD is a SAS, with its registered office located in the 8th arrondissement of Paris, France “60 Rue François 1er 75008 Paris 8” , and registered with unique identification number 980 637 078. CORPO TRAD offers its services on the "CA Translation" website.

The "Client" is any person with whom CA Translation concludes a Contract for the services defined by these General Conditions. A "Consumer Client" is any natural person acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, or liberal activity, as defined in the preliminary article of the Consumer Code.

"General Conditions" refers to these General Conditions, or taken as a whole, the "Contract," aimed at defining the relationship between CA Translation and the Client. The General Conditions are available on the website accessible at https://ca-translation.ca/.

The "Services" refer to the translation work and other linguistic services offered by CA Translation to the Client under a Contract.

Article 2 - Object

These General Conditions govern the sales of Services as defined in Article 1.

The Client waives, in particular, the right to rely on any document contrary to these conditions, which would be unenforceable against CA Translation, except with the prior written agreement of CA Translation.

Services can be requested by the Client from CA Translation via the Site, direct contact, or via paper support at the coordinates specified in Article 4 below.

Article 3 - Rates

The rates for the Services are indicated in euros, including all taxes (VAT and other taxes applicable on the day of the order), unless otherwise stated.

In any case, the prices of the Services are expressed excluding processing and shipping fees.

CA Translation reserves the right to modify its prices at any time, but the Service will be invoiced based on the rate in effect at the time of order validation and subject to having established and sent an order confirmation to the Client.

For an accelerated or urgent Service (any delivery request shorter than the indicated deadlines, on holidays), a surcharge will be applied.

Shipping costs are borne by the Client. The indicated rate includes formatting consistent with the original document. Standard mail delivery is optional.

Article 4 – Order Procedures

The Client can place an order:

Contractual information is presented in English and will be confirmed at the latest upon validation of your order.

CA Translation reserves the right not to record a payment and not to confirm an order for any reason, particularly in the case of difficulties regarding the order received.

Any order or Service implies by law the acceptance, without reservation, of the General Conditions by the Client and their full and complete adherence to the contractual terms.

Article 5 - Validation of Your Order

Upon receipt of the order, CA Translation examines the documents provided by the Client.

Based on the information provided by the Client, CA Translation sends an order confirmation by email, fax, or postal mail, indicating in particular:

- The volume/number of pages/words submitted for translation;

- The language of translation and regional variant, if any;

- The pricing method of the Service, which may be flat-rate, time-based, or based on CA Translation’s rate on the day of the quote, especially per source word (i.e., words in the text to be translated) or target word (i.e., words in the translated text) according to the count proposed by the software, per line, per page, per hour;

- The delivery time of the Service;

- The format of the documents to be translated in case of a specific layout request for the delivered document (by default, the translation will be delivered in PDF format);

- Any price surcharges applied, especially due to urgency, specific terminological research, or any other specific request from the Client.

In the event that the Client's order does not correspond to the chosen Service, CA Translation will try to send a proposal corresponding to their translation project. In this case, CA Translation will send a confirmation with a payment request corresponding to the difference between the paid price and the price corresponding to the Service.

For specific orders requiring the establishment of a prior quote, the Contract will be considered final only after:

- Quote establishment by CA Translation;

- Order confirmation by the Consumer Client. To confirm the order, the Client must (1) return the signed quote to CA Translation by email or postal mail if the Client is a Company, expressly indicating "Approval," unless otherwise stated, or (2) proceed with the payment of the quote if the Client is an Individual,

- Written confirmation of the order acceptance by CA Translation, by email or postal mail.

In the absence of confirmation of the quote within one (1) month from its sending, the quote will be deemed expired.

In the absence of confirmation of the quote within seventy-two (72) hours from its receipt, CA Translation reserves the right to modify the delivery time of the Service, especially based on its workload. All data provided and the recorded confirmation will constitute proof of the nature, content, and terms of the transaction.

The Client is committed upon the written confirmation of the order or quote acceptance by CA Translation, for its full amount, and this confirmation constitutes full approval of the order or quote content.

It is specified that CA Translation reserves the right not to accept the order of a Client in case of an existing dispute, especially regarding payment terms.

Article 6 – Payment

The confirmation of the order acceptance by CA Translation implies for the Client the obligation to pay the indicated price. The price is payable in full on the day of the order by the Consumer Client, net and without discount.

In the case of payment by credit card, the payment for purchases is made by credit card using the secure Payzen system. The card is debited at the time of order confirmation. In the case of payment from abroad, the existence of exchange fees, bank fees, or any other related fees or taxes will result in either a flat-rate increase in the price of the Service or the full recharging of the fees to the Client.

Article 7 – Execution of the Service

After the final acceptance of the order, CA Translation will specify to the Client the execution time of the Service. This period is understood as the period between the receipt of the order and the dispatch of the Service to the Client. In case of late payment, AS may suspend the execution of the relevant Service until full payment of the price agreed upon during the order.

Article 8 - Obligations of CA Translation

CA Translation strives to carry out the translation with the greatest fidelity to the original and in accordance with the professional standards.

CA Translation disclaims any responsibility for inconsistency, ambiguity, error, or omission in the original text provided by the Client. The verification of the coherence of the text in question is the sole responsibility of the Client. Moreover, CA Translation is not obligated to correct errors or omissions inherent in the source document provided by the Client, which may or may not affect the quality of the Service.

In case of doubt, CA Translation reserves the right to refuse to perform a certified translation.

CA Translation does not perform any Service that aims to translate by equivalence a grading or assessment system from one school system to another or from one country to another.

Article 9 - Client's Obligations

The Client agrees to provide CA Translation with all texts to be translated and any information necessary for understanding the text, including, if necessary, specific terminology or related technical documentation, and, if applicable, the typed text in case of handwritten text in the original document provided by the Client.

The Client agrees to provide the most comprehensive information possible when placing an order and commits to collaborating in good faith with CA Translation. In case of the Client's failure to fulfill the obligation to inform CA Translation, the latter cannot be held responsible for any non-compliance or delay.

The Client guarantees to CA Translation:

  • That they own or are the holder of the source documents and all components subject to the Service, and that the translation of the source material and its publication, distribution, sale, or any other use of the Service does not infringe on any copyright, trademark, patent, or other intellectual property rights of a third party;
  • That the source documents and all components subject to the Service do not contain any defamatory, offensive, obscene, violent, or inciting violence, racist or xenophobic content, or content that violates privacy and the right to image, and, in general, any content contrary to applicable laws and regulations or good morals.

Article 10 - Withdrawal or Cancellation

The right of withdrawal does not apply to the supply of goods made to the consumer's specifications or clearly personalized. Therefore, the Consumer Client, when placing an order, must check the box "I have read the general terms and conditions of sale and I adhere to them without reservation. The right of withdrawal cannot be exercised, as it is a distinctly personalized product."

Article 11 - Modification

Any request to modify an ongoing Service, for any reason, must be notified in writing to CA Translation.

CA Translation reserves the right to possibly refund part of the order based on the processing stage of the said order.

Article 12 - Delivery

Delivery times are expressed in working days. Working days are understood as Monday to Friday.

It is specified that the deadlines are given for guidance only and may be extended by simple notification to the Client, particularly due to layout difficulties of the Service, the existence of specific expressions, technicalities, or the legibility of the source text.

Services begin only after receipt of payment. Therefore, this date is decisive for calculating the delivery time of the document sent by email.

It is specified that delivery times are given for guidance only, and their non-observance can only result in a refund to the Client in case of CA Translation’s fault. Thus, the responsibility of CA Translation cannot be engaged for direct or indirect damages caused to the Client or third parties due to a delivery delay, especially due to force majeure events or any delays in transmission by modem, email, and other postal means.

Article 13 - Confidentiality

CA Translation undertakes to respect the confidentiality of information brought to its knowledge by the Client before, during, or after the execution of the Service. CA Translation will also make efforts to ensure the confidentiality of information by the translators performing the translations.

CA Translation’s responsibility cannot be engaged due to interception or diversion of information during data transfer, especially over the Internet. Therefore, it is the Client's responsibility to inform CA Translation, either prior to or at the time of the order, of the transfer methods they wish to be implemented to ensure the confidentiality of any sensitive information.

Article 14 - Format of the Service

Delivery format:

The translation is delivered by email in PDF format.

Grade transcripts: According to the law, it is not possible to convert grades or perform equivalence translations between different grading systems when translating grade transcripts. However, explanations about the grading system can be added upon request.

Article 15 - Corrections

In case of disagreement on certain points of the Service, CA Translation reserves the right to correct it in cooperation with the Client.

Article 16 - Liability

16.1 Exoneration of Liability

CA Translation’s liability cannot be engaged in case of non-compliance with the laws of the country in which the Service is provided or delivered. It is the Client's responsibility to check with local authorities the possibilities of using the products or services they intend to order.

Recognition with Canada and foreign administrations.

CA Translation strives to have the Service performed by the most suitable person based on the specificity of the translation and the requirements of the recipient (administration, etc.). This implies that the Client informs CA Translation of the recipient's requirements and requests for translation, as provided in Article 10, as requirements vary widely from one administration to another. In any case, CA Translation cannot be held responsible for the refusal of certified translation Services by administrations.

CA Translation’s liability cannot be engaged in case of:

  • Non-compliance with the payment conditions and deadlines by the Client, and more generally any fault attributable to the Client or a third party,
  • Late or incomplete transmission by the Client of information, documents, and information necessary for the execution of the Service,
  • Third-party actions, including fire, flood, strike, delay, or interruption in transportation, or any other event beyond CA Translation’s control,
  • Inconveniences or damages inherent in the use of the Internet network, including a service interruption, external intrusion, or the presence of computer viruses.

None of the events above can justify order cancellation, refusal to receive the Service, or give rise to any compensation.

16.2 Limitation of Liability

In any case, CA Translation’s liability for the Service is limited to direct damages only and cannot exceed, for all causes and damages combined, the amount billed to the Client for the Service.

Article 17 - Dispute Resolution

17.1 Claims

All claims or requests for modification must be made in writing, to the following email address: info@ca-translation.ca or to the following postal address: 60 Rue François 1er 75008 Paris 8, France, within seven (7) days following the receipt of the Service by email. After this period, no claims will be accepted, and the Service will be considered duly executed.

The claim must be detailed and provide CA Translation with all the necessary information to assess the request. In no case will CA Translation accept claims motivated by nuances of style or layout. If these conditions are not respected, the claim will not be processed. If these conditions are respected, a response to the Client's request will be sent within thirty (30) days from the receipt of the request.

17.2 Consumer Mediator for the Consumer Client

In case of failure of the written claim provided in Article 17.1, or in the absence of a response within thirty (30) days from the request, the Consumer Client can address their claim, within a maximum period of one (1) year from their written claim, to the competent consumer mediator, whose list is provided by the Consumer Ombudsman on its website: https://www.consumer.ftc.gov/.

17.3 Jurisdiction

Any dispute arising out of or in connection with the interpretation, execution, or termination of these General Conditions falls under the jurisdiction of the courts of Delaware, regardless of the place of order, delivery, or payment method accepted.

Article 18 - Intellectual property

All elements of the site https://ca-translation.ca/ are and remain the exclusive property of CA Translation. No one is authorized to reproduce, exploit, redistribute, or use for any reason whatsoever, even partially, elements of the site, whether software, visual or sound. Any simple or hypertext link is strictly prohibited without the express written consent of CA Translation. 

Article 19 - Personal Data

The personal data collected for the purposes of this Contract is subject to computer processing and is intended solely for CA Translation.

In accordance with the Data Protection Act, the Client has the right to access, rectify, and oppose the personal data concerning them. To exercise this right, the Client must send a request in writing to the following address: info@ca-translation.ca.

The personal data collected on the Site is processed in accordance with the Site's Privacy Policy, accessible at info@ca-translation.ca 

Article 20 - Archiving and Evidence

CA Translation will archive purchase orders and invoices on a reliable and durable medium. the retention period is set at ten (10) years. The starting point of the period is the execution of the Service.

The computerized records of the aforementioned company will be considered by all parties concerned as evidence of communications, orders, payments, and transactions between the parties.
